What is a Power of Attorney (PoA)?  

A Power of Attorney (PoA) is a legal document that grants one person (the agent or attorney-in-fact) the authority to act on your behalf (the principal) in specified or all legal or financial matters. The scope of this authority can range from handling financial transactions to making medical decisions, depending on the type of PoA granted.

A power of attorney or letter of attorney is also a written authorization to represent or act on another's behalf in private affairs, business, or some other legal matter. You, who is authorizing the other to act is the principal, grantor, or donor.

Why Do You Need a Power of Attorney for Business in Saudi Arabia?  

When establishing or conducting your business in Saudi Arabia, a Power of Attorney is often required for various reasons:

  1. Legal Representation: It allows a trusted representative to act on your behalf in legal matters, including signing contracts, submitting documents, and handling other legal obligations.

  2. Efficiency: It streamlines processes by authorizing someone within Saudi Arabia to manage affairs without the need for your physical presence.

  3. Compliance: Saudi Arabian regulations often necessitate a PoA to ensure all business actions are legally recognized and valid.

Types of Power of Attorney  

  1. General Power of Attorney: Grants broad powers to the agent to perform almost any act as the principal, such as managing your bank accounts, signing checks, buying or selling property, filing your taxes, etc.

  2. Special Power of Attorney: Limits the agent's authority to specific acts or decisions. This is often used for particular tasks like selling property, accessing a specific bank account, or conducting a specific business transaction.

Steps to Obtain and Provide a Power of Attorney  

  1. Determine the Scope: Decide whether you need a general or special PoA based on your business needs.

  2. Draft the Document: Create the PoA document, specifying the powers granted, the duration of the PoA, and any limitations. You may want to consult a legal professional to ensure the document meets all legal requirements.

  3. Notarization and Legalization:

    • Notarization: The PoA must be notarized by a public notary in your home country.

    • Legalization: The notarized document must then be authenticated by the relevant authorities, including the Ministry of Foreign Affairs and the Saudi Embassy or Consulate in your home country.

  1. Translation: If the PoA is not in Arabic, it must be translated into Arabic by a certified translator.

  2. Submission: Provide the authenticated and translated PoA to the relevant Saudi Arabian authorities or business entities as required.
